In 2019, we launched the Integrity Program to consolidate existing practices and reinforce our commitment to future actions. This initiative is designed to prevent, detect, and address fraud and violations of the Code of Conduct, the Anti-Corruption Policy, and applicable laws. The program is guided by market best practices, Brazil’s Anti-Corruption Law (No. 12,846/13), Decree No. 8,420/15, and, when relevant, international regulations. It also incorporates recommendations from the Brazilian Institute of Corporate Governance (IBGC) and the Office of the Comptroller General (CGU). Its principles apply to all executives, shareholders, employees, partners, and third parties with whom we engage.
All internal stakeholders receive training on the Integrity Program, with clear and accessible guidelines. Communication and training efforts are extended to business partners, suppliers, distributors, resellers, clients, and consumers to ensure widespread awareness and alignment with the program’s initiatives.
Through the development of each pillar, we aim to:
In 2024, the Integrity Program underwent a complete redesign. At the heart of this new model are our Values, Principles, and Purpose, which serve as the foundation for all our actions. This reflects our commitment to maintaining ethics and integrity as fundamental pillars of our organizational culture.
The program’s key drivers include the Code of Conduct, Internal Policies and Procedures, External Commitments, Laws and Regulations, and the Risk Map. These elements are vital to ensuring that all our processes align with best practices and legal requirements.
Additionally, the program is powered by the Drivers: Senior Management, Leadership, and the Compliance Team. They play a crucial role in fostering and sustaining a culture of integrity within VIXPar.
The program’s Tools include the Whistleblower Channel, Disciplinary Measures, Communication, Training, Monitoring, and Third-Party Evaluation. These tools are critical for the effective implementation of the program, ensuring that all employees are informed and engaged with our integrity policies.
Finally, we emphasize the role of Stakeholders, represented as a cohesive and interconnected group. This includes the Community, Market, Clients, Public Authorities, Employees, Shareholders, and Suppliers. Together, they embody the collaborative spirit and commitment to integrity that drive our actions forward.
At VIX, the area responsible for the Integrity Program is the Executive Legal, Governance, Compliance and Sustainability Management, represented by the Governance and Compliance Management team. This team is tasked with developing, implementing, and monitoring the program to ensure its effective execution.
Together, in the right direction!
